Welcome to Panxpan ("the Site"), an online platform dedicated to helping schools, nonprofits, businesses, entrepreneurs, creators, and innovators raise funds through crowdfunding and Non-Fungible Token (NFT) incentives. By accessing and using the Site, you are agreeing to comply with and be bound by the following terms and conditions ("Terms of Use"). Please read these Terms of Use carefully before using the Site. If you do not agree with any part of these Terms of Use, you must not use the Site.

 

1.  Eligibility

To use the Site, you must be at least 18 years old or have the permission and supervision of a parent or legal guardian. By using the Site, you represent and warrant that you meet these eligibility requirements.

2.  Account Registration

To access certain features of the Site, you may need to create an account. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.

 

3.  NFT Rewards

The Site may offer NFT rewards to users who donate to specific fundraisers. The NFTs may be subject to additional terms and conditions, including but not limited to ownership, transferability, and intellectual property rights. By participating in the NFT rewards program, you agree to comply with any applicable additional terms and conditions.

 

4.  Donations

When you donate to a fundraiser through the Site, you understand that your donation is made to the individual or entity hosting the fundraiser, not to the Site. The Site does not guarantee that donations will be used as described by the fundraiser host or that the fundraiser's goals will be achieved. We are not responsible for any disputes between donors and fundraiser hosts.

5.  Right to Refuse Service

Panxpan reserves the right, at its sole discretion, to refuse service to anyone, including but not limited to refusing to host or promote a fundraiser, or to disallow specific rewards in a fundraiser, on ethical, moral, or any other grounds deemed appropriate by us. We may, without prior notice or liability, cancel or suspend any fundraiser, remove any content, or take any other action we deem necessary to protect the integrity, reputation, or operation of the Site and its users.

6.  Data Sharing with Service Providers

Panxpan may share your personal information and other data with third-party service providers that are necessary for the NFT management and creation process. These service providers may include, but are not limited to, NFT minting platforms, digital wallet providers, and blockchain technology partners. By using the Site and participating in the NFT rewards program, you consent to the sharing of your information with such third-party service providers for the purposes of NFT management and creation. All third-party service providers are required to maintain the confidentiality and security of your information and to use it only for the purposes for which it was disclosed.

7.  Pricing and Fees
While fundraising organizers are entitled to keep all of the funds raised through their campaigns on the Site, they are responsible for any and all payment processing fees associated with their chosen payment methods, such as credit card processing fees.  In addition, the Site charges participants a service fee for the use and maintenance of the platform. This service fee is added to the donated amount or the minimum tier amount for a given donation tier, and is not deducted from the funds raised by the fundraiser. The exact amount of the service fee will be clearly displayed at the time of donation. By using the Site and participating in the fundraisers, you acknowledge and agree to these pricing and fee structures.

8.  Refund Policy

If you have made a donation through the Site and wish to request a refund, you must contact us within 48 hours of making the donation at support@panxpan.com. We will review your request and, at our sole discretion, may issue a refund. Please note that this refund policy does not apply to donations where the NFT reward has already been issued, transferred, or otherwise utilized. In such cases, refunds may not be possible due to the immutable nature of blockchain transactions.

9.  Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, and software, is the property of Panxpan or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works of the Site's content without our express written permission.

10.  User Conduct

You agree not to use the Site for any unlawful purpose or to engage in any conduct that may disrupt, damage, or harm the Site or its users. This includes, but is not limited to, posting or transmitting any content that is threatening, abusive, defamatory, obscene, fraudulent, or otherwise objectionable.

11.  Termination

We reserve the right, at our sole discretion, to terminate your access to the Site without prior notice if we believe you have violated these Terms of Use or for any other reason.

12.  Limitation of Liability

In no event shall Panxpan or its affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any content or services provided by the Site.

13.  Indemnification

You agree to indemnify, defend, and hold harmless Panxpan, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or related to your use of the Site or any violation of these Terms of Use.

14.  Changes to Terms of Use

We reserve the right to modify or update these Terms of Use at any time and for any reason. Your continued use of the Site following the posting of any changes to the Terms of Use constitutes your acceptance of such changes.

15.  Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in California for the resolution of any disputes arising out of or relating to these Terms of Use or your use of the Site.

16.  Severability

If any provision of these Terms of Use is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

17.  Waiver

No waiver of any term or condition of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and our failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

18.  Entire Agreement

These Terms of Use, together with any additional terms and conditions referenced herein or made available by hyperlink, constitute the entire agreement between you and Panxpan with respect to your use of the Site and supersede any prior agreements or understandings, whether written or oral, between you and Panxpan concerning the subject matter hereof.
